Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the Inno Message platform, websites and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of service

Inno Message is a multi-channel communication and gateway management platform that enables you to send and receive messages across WhatsApp, Email, SMS, Facebook Messenger and Instagram, manage partner accounts, and administer prepaid balances and credit limits. Features may evolve over time as the Service is improved.

3. Accounts & security

You are responsible for safeguarding your account credentials and API keys, for all activity that occurs under your account, and for maintaining the confidentiality of gateway credentials you configure. You must promptly notify us of any unauthorised use. We provide security controls, but you are responsible for using them appropriately.

4. Acceptable use

You agree not to use the Service to send unlawful, deceptive, infringing or unsolicited messages, to violate the policies of connected providers (including WhatsApp, Meta, SendGrid and Twilio), or to attempt to disrupt or compromise the Service. You must obtain all required consents from message recipients and comply with applicable communications and data-protection laws.

5. Billing & prepaid balances

The Service uses a prepaid balance model. Messaging charges are deducted from partner balances as messages are sent. Credit limits, where enabled, act as a safety buffer. Fees and balances are described in your plan and at the point of purchase. Except as required by law or stated in our Refund Policy, payments are non-refundable.

6. Intellectual property

The Service, including its software, design and content, is owned by Inno Message and its licensors and is protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or branding. You retain ownership of content you transmit through the Service.

7. Data & privacy

Our handling of personal data is described in our Privacy Policy. You are the controller of the personal data you process through the Service and are responsible for having a lawful basis for your communications.

8. Availability & support

We target 99.9% availability and publish status at our status page. The Service is provided on a commercially reasonable-efforts basis; specific service levels, where offered, are set out in your plan or order.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, Inno Message will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenues, arising from or related to your use of the Service. Our aggregate liability is limited to the amounts you paid for the Service in the twelve months preceding the claim.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms or use the Service in a way that creates risk or legal exposure. Provisions that by their nature should survive termination will survive.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by reasonable means. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
